A practical note for franchised dealers

Who does what, in what order, and why the division of labor protects the seller.

Last update: October 2026

Selling a franchised store is not a listing. There is no sign on the lot and no open house. It is a private negotiation that touches your employees, your manufacturer, your landlord or your own real estate, and your family. A dealership buy-sell advisor exists to run that negotiation so the dealer can keep running the store. This article looks at the working relationship from the seller's chair: what you hand over, what you keep, and where your judgment still matters most.

The seller's job, the advisor's job

A clear split of duties keeps a sale moving. The dealer's job is to keep the business healthy, provide accurate records quickly and make the final decisions. The advisor's job is everything between: valuation, marketing, buyer qualification, negotiation and keeping the manufacturer's process on track. Your attorney and CPA protect you on documents, structure and tax.

The advisor manages the process. The dealer makes the decisions.

When those roles blur, problems follow. A dealer who takes buyer calls directly may reveal a deadline or a price floor. An advisor who makes decisions without the dealer may push a structure the family never wanted.

Starting the work with a dealership buy-sell advisor

The first meeting

Expect questions about your goals before you hear a number. Do you want a full exit or a partial sale? Will you sell the real estate or keep it? How important is the future of your managers? MD Johnson, Inc. describes this meeting about the seller's vision as part of its first step, alongside its financial review.

The financial review

The advisor will ask for at least three years of financial statements. They will remove non-recurring expenses, compare real estate value with rent expense and weigh market conditions. The output should be a value you understand line by line.

The engagement

Read the engagement agreement carefully, especially fees, exclusivity and any tail-period clause that could cost you if a buyer closes after the agreement ends. MD Johnson says it charges a fee on one side only, paid at closing by its client, with no retainers. It publishes no fee figure.

Taking the store to market quietly

Confidentiality is the https://mdjohnsoninc.com/dealership-valuation/ asset most sellers underrate. The advisor prepares a Memorandum of Sale and decides which qualified buyers receive it. Buyers are screened for capital, operating history and likely manufacturer approval before they see detail. Site visits are kept to a minimum and often happen after hours.

Your staff will eventually learn of the sale. The goal is that they hear it from you, at a time you choose, with a clear message about what happens next.

Comparing offers on more than price

Letters of Intent arrive in different shapes. One offers more for blue sky but wants to lease the real estate below market. Another pays less but closes sooner and buys the property. A third depends on financing that is not yet committed. The advisor lays these side by side so you see the total outcome, not just the headline.

Questions to ask about every LOI

How is the real estate handled? What happens to inventory and parts at closing? How long until an Asset Purchase Agreement? Has this buyer been approved by your manufacturer before? What could cause them to walk away?

The seller's dossier

  1. Three or more years of financial statements, with notes on one-time items.
  2. Lease, deed or real estate entity documents and any appraisal.
  3. Franchise and sales and service agreements, plus open facility commitments.
  4. A short written statement of your goals, timing and non-negotiables.
  5. Contacts for your attorney and CPA, who will join at the APA stage.

From signed agreement to closing day

After an LOI is accepted, the Asset Purchase Agreement is negotiated with both sides' attorneys and CPAs. Due diligence begins, and the buy-sell package goes to the manufacturer for approval. These tracks run in parallel; an experienced advisor keeps either one from stalling the other. The final step, as MD Johnson describes it, is an onsite closing with the seller's attorneys and CPAs present.

Real estate often closes on the same day. MD Johnson says its subsidiary MDJ Realty handles that part of the buy-sell at no additional cost. Whatever firm you use, settle the property terms alongside the business terms.

Choosing the right partner

Look for an advisor who represents only the seller, explains every number and has handled many factory submissions. MD Johnson, founded in 2001 by former Washington State new vehicle dealer Mark Johnson, says it has completed hundreds of successful transactions; ask any firm for references you can call. Frequently asked questions

What does a dealership buy-sell advisor do that my attorney does not?

Your attorney protects you in the documents. The advisor prepares the valuation, finds and qualifies buyers, runs the offer process and manages negotiations and the factory submission. The two roles work side by side.

Can I sell to a buyer I already know and still use an advisor?

Yes. Many sellers have a likely buyer in mind. An advisor can still test that buyer's offer against the market and manage the documents, diligence and manufacturer approval.

Will the advisor also handle my real estate?

It depends on the firm. MD Johnson, Inc. says its subsidiary MDJ Realty handles the real estate part of the buy-sell at no additional cost.

How do I start?

Gather three years of financial statements and your lease or property records, then have a confidential first conversation with one or two sell-side advisors.
